1. Project Description
Anju Kapoor Bareja (Developer) agrees to design, develop, test, deploy and maintain a comprehensive class management platform for Kunal Drum Class (KDC), consisting of:
- Student Mobile Application — Android (Google Play Store) and iOS (Apple App Store)
- Role-Based Tutor Interface — Accessible within the same mobile application via a separate login
- Admin Web Panel — Full-featured browser-based control centre for complete operational management
The platform shall be built as described in the KDC App Requirements Document (50 points) dated , attached as Annexure A and forming an integral part of this Agreement.
2. Scope of Work
Student App (iOS + Android)
- Sign up / sign in via email and password
- Home screen: next class, attendance stats, payment status
- Class confirmation and cancellation with deadline enforcement
- Advance and bulk cancellation for vacation and exams
- Compensation class booking (Student-Cancelled and Institute-Cancelled credits)
- Cascading push notifications (class reminders, comp availability, payment reminders, credit expiry)
- Razorpay online payment integration
- GST-compliant invoice auto-generation and delivery after each payment
- Profile screen with session and comp credit history
- Attendance and class history
Tutor Interface (Role-Based, Inside Mobile App)
- Separate tutor login and dashboard
- View today's and upcoming assigned classes
- View student list per class (Fixed and Comp students marked separately)
- Mark attendance with configurable statuses
- Add class remarks
- No access to payment or financial information
Admin Web Panel
- Student management: add, edit, pause, resume, deactivate, change batch and payment plan
- Batch management: create, edit, deactivate, capacity and timing
- Tutor management: add, edit, assign batches and schedules
- Scheduling: fixed classes, comp classes, cancellations, availability and manual bookings
- Payment module: records, pending payments, reminders, extensions, adjustments and history
- Attendance: view, edit and reports with full audit trail
- Admin dashboard: real-time command centre
- Reports: 20+ report types, exportable as PDF and Excel
- All timings, deadlines and notification schedules configurable by Admin
- Full audit log of every manual admin action
- Manual override for any automated rule
Automation Engine (12 Background Processes)
- Auto-creation of fixed weekly classes with default response = YES
- Cancellation deadline enforcement (weekday 7 PM, weekend 3 PM)
- Admin intervention window (1 hour post-deadline)
- Auto-release of empty slots for comp booking
- Comp credit generation and expiry management
- Cascading comp slot notifications (4-stage weekday, 5-stage weekend)
- Automated payment reminders (1st, 5th, 10th, 14th of month)
- Profile pause handling, comp credit expiry reminders, booking validation

3. Payment Terms

Payment Rules:
—Each payment is due within 7 days of milestone completion
—Work on the next phase begins only after current milestone payment is received
—Accepted: Bank Transfer (NEFT/IMPS), UPI
—Late payments attract simple interest of 2% per month on outstanding amount
—All milestone payments are non-refundable once the milestone has been delivered
4. Monthly Maintenance & Support
Post-deployment, a monthly maintenance retainer of ₹10,000/month applies (Year 1). Rate increases by 10% per year, not compounded.

All new features are quoted separately in writing before work begins. No verbal commitments.

Response Time SLA:
Critical issues (app down, payments failing, login broken): within 24 hours
Non-critical issues (UI bug, minor error): within 72 hours
Termination of Maintenance: Either party may terminate with 30 days written notice. No refund for any prepaid month.
5. Project Timeline
Estimated Duration: 12 weeks (3 months) from Milestone 1 payment and receipt of all required Client information.

Timeline is contingent on milestone payments being received on time and Client providing required information within 3 days of any request.
6. Client Responsibilities
- —Provide all required information promptly: student list, batch timings, tutor details, GSTIN, Razorpay account, App Store and Play Store developer accounts
- —Designate one point of contact for feedback and approvals
- —Respond to feedback requests within 5 business days during testing
- —Pay each milestone within 7 days of delivery
- —Confirm all scope additions in writing before work begins — no verbal requests
7. Intellectual Property
- —Full code ownership transfers to the Client upon receipt of Milestone 5 payment in full
- —Until full payment is received, all code, designs and systems remain the property of the Developer
- —The Developer may reference this project in their portfolio without disclosing Client data, unless the Client requests otherwise in writing
- —The Client's student data and business information remain the Client's property at all times
8. Data & Privacy
- —All data is stored on Supabase, a globally operated cloud database platform
- —The Developer does not access individual student data beyond development and support needs
- —The Client is responsible for obtaining student consent for data collection
- —Upon termination, a complete data export will be provided within 14 days
9. Limitation of Liability
- —The Developer is not liable for outages of third-party services (Supabase, Razorpay, Apple, Google)
- —The Developer is not liable for App Store or Play Store rejection beyond making required fixes
- —Total Developer liability shall not exceed the total amount paid by the Client under this agreement
- —The Developer is not responsible for business decisions made based on app data
10. Confidentiality
Both parties agree to keep the terms of this agreement, Client business data and all operational information strictly confidential. Neither party shall disclose this to any third party without prior written consent.
11. Change Requests
- —All changes to agreed scope must be submitted in writing (WhatsApp or email)
- —Developer will provide a written quote within 3 business days
- —Work begins only after written approval and payment are confirmed
- —Minor clarifications not affecting scope or timeline do not require a formal amendment
12. Termination
By Client: At any time with 30 days written notice. Completed milestone payments are non-refundable. Work in progress delivered in current state.
By Developer: With 30 days written notice if: (a) a milestone payment is overdue by more than 14 days, or (b) Client is in material breach of this agreement.
13. Governing Law & Disputes
This agreement is governed by the laws of India. Disputes shall first be resolved through mutual discussion. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings in Mumbai, Maharashtra.
14. Entire Agreement
This agreement, together with Annexure A (Requirements Document), constitutes the entire agreement. It supersedes all prior verbal or written discussions. No verbal representations are binding.
